Terms & Conditions

Last updated 21 October 2026

These terms cover this website, our software-development services and our own apps. Read the sections that apply to you, together with any proposal agreed for your project.

1. About these terms

These terms are an agreement between you and Nexotri (“we”, “us”), a sole proprietorship based in Kolhapur, Maharashtra 416113, India, registered as an MSME under Udyam registration number UDYAM-MH-15-0316683. If you accept them on behalf of a business, you confirm that you are allowed to do so, and “you” means that business.

They cover three things:

  • The website — nexotri.com and its pages (section 2).
  • Our services — websites, Android and iOS apps, custom software such as CRMs, ERPs, dashboards and portals, business digitisation, WhatsApp Business API and payment integrations, and hosting, maintenance and support plans that we build or run for clients (sections 3 to 8).
  • Our products — PG Connect, Layo, Zym and Case Alerts, our own apps with a hosted service (section 9).

Sections 10 to 16 apply to all three.

The Proposal comes first

For each project, we agree a written Proposal with you — sometimes called a quote or a statement of work. It sets the scope, price, milestones and timeline. Where a signed or accepted Proposal and these terms conflict, the Proposal prevails for that project. Anything the Proposal does not address is covered by these terms.

You accept these terms by using the website, by accepting a Proposal, or by creating an account in one of our apps. How we handle personal data is explained in our Privacy Policy.

2. Using our website

You are welcome to browse, read and share our pages. You agree not to:

  • use the website or our contact form for anything unlawful, or to send spam, abuse or malicious code;
  • try to gain access to our inbox, servers or systems, or probe them for weaknesses without our written permission;
  • copy substantial parts of the website, or present our content as your own;
  • pretend to be someone else when you contact us.

What the website says about our services — descriptions, examples and indicative prices — is for general information. It is not an offer to do work: what we will do for you, and for how much, is set out in a Proposal.

We work to keep the website available and accurate, but we do not guarantee that it will always be available, uninterrupted or free of errors. Where we link to other websites, we are not responsible for their content.

3. Services: how a project works

3.1 Consultation and Proposal

Every project starts with a free consultation, where we learn what you need. We then send you a written Proposal setting out the scope of work, the price, the milestones and the timeline. A Proposal is valid for the period it states.

The engagement begins when you accept the Proposal — by signing it, by confirming in writing (an email or a WhatsApp message is enough), or by paying the first invoice.

3.2 Fees and payment

  • Fees and the payment schedule are as set out in the Proposal — typically an advance before work starts, and further payments as milestones are delivered.
  • Invoices are payable within 7 days of the invoice date.
  • Prices are in Indian Rupees and exclusive of applicable taxes, unless the Proposal says otherwise.
  • If an invoice is overdue, we may pause work until it is paid, after telling you. The timeline moves by the length of the pause.

Refunds for services are covered by our Refund & Cancellation Policy.

3.3 What we need from you

Software projects run late mostly while someone is waiting. To keep yours on time, you agree to give us, when we need them:

  • content — text, images, logos, product and price data;
  • access — to hosting, domains, app store accounts and any other systems we need to work with;
  • decisions and feedback — within the time the Proposal sets, or within a reasonable time if it sets none.

If something on your side arrives late, the timeline moves by at least the same amount, and we will tell you the new dates. You are responsible for the accuracy and lawfulness of the content you give us. We keep the access you give us secure and use it only for your project; please change or revoke it when the project ends.

3.4 Changes to scope

Anything outside the agreed scope — a new feature, an extra screen, a change to something already approved — is a change request. We will tell you what it costs and how it affects the timeline, and we start on it once you agree in writing. Change requests are quoted and paid for separately.

3.5 Delivery and acceptance

We deliver work in the stages set out in the Proposal. When we deliver a milestone or the finished work, please review it. A deliverable is accepted when you approve it, or 7 days after delivery if by then you have not told us in writing about a material defect — something that stops it doing what the Proposal says it should.

If you report a material defect, we fix it and deliver again, and the 7 days start again for what we fixed.

3.6 Bug fixes after launch

We fix defects in the work we built, free of charge, for the period stated in the Proposal — or for 30 days after go-live if the Proposal states none. A defect means the software does not work as the Proposal describes. Free fixing does not cover:

  • new features, or changes to behaviour you already approved — these are change requests;
  • problems caused by changes that you or a third party made to the code, hosting or settings;
  • outages or changes in third-party services, such as hosting, app stores, WhatsApp or payment gateways.

After that period, fixes and support are available under a maintenance plan (section 7) or quoted separately. Apart from this commitment, we do not promise that software will be free of every error, or that it will suit purposes the Proposal does not describe.

4. Services: who owns the work

  • What we make for you is yours once paid for. When you have paid in full, you own the custom code, designs and content we created specifically for you under the Proposal. Until then, we own them, and you may use them only to review and test the work.
  • Our tools stay ours. We keep ownership of the tools, libraries, components, templates and know-how we had before your project or develop independently of it. Where these form part of what we deliver, we grant you a perpetual, non-exclusive, royalty-free licence to use them as part of that deliverable — including modifying it and keeping it running — but not to sell or license them separately.
  • Open-source components remain under their own licences, which you must follow. We will point out any whose terms affect how you can use the work.
  • Our portfolio. We mention your project in our portfolio, case studies or marketing only with your permission.

5. Services: third-party accounts and services

Most projects rely on services run by others: domain names, hosting, Google Play and the Apple App Store, the WhatsApp Business Platform, payment gateways such as Razorpay, email providers and so on.

  • These accounts should ideally be in your own name, so that you always control them. If we set one up on your behalf, it is still yours, and we will transfer it to you when you ask.
  • Their fees and terms are yours to accept and pay, unless the Proposal says otherwise.
  • We cannot guarantee that Google Play or the App Store will approve an app, or how any third-party service will behave or change. If a store rejects an app, we will help you address the reviewer’s feedback.
  • We are not responsible for outages, price changes, policy changes or account decisions made by third-party services.

6. Confidentiality and data protection

Each of us will keep the other’s confidential information confidential, during the engagement and for 2 years after it ends. Confidential information means anything not public that is shared for the project — business plans, customer data, source code, prices, logins and the like.

This does not apply to information that is public through no fault of the side receiving it, that it already had or developed independently, or that a law or court requires it to disclose. In that last case, it will tell the other side first where the law allows.

Personal data in your project

When our work involves personal data about your customers, staff or members, you are the Data Fiduciary under the Digital Personal Data Protection Act, 2023, and we are your Data Processor. You are responsible for telling your users how their data is used and for getting any consent the law requires. We process the data only on your instructions and for the engagement, as described in section 9 of our Privacy Policy. A data processing agreement is available on request.

7. Hosting, maintenance and support plans

If you take a hosting, maintenance or support plan, the plan sets what is included, our response times and the fee. Work outside the plan’s scope is quoted separately.

We aim for high availability for the services we host, but we do not guarantee uninterrupted or error-free service. Maintenance, faults in third-party services and events outside our control can interrupt it.

You can cancel a plan with 30 days’ notice. How prepaid fees are refunded is set out in our Refund & Cancellation Policy. When a plan ends and its fees are paid, we will hand over the files, data and access you need to move the service elsewhere.

8. Ending a project

Either of us can end an engagement by written notice. If it ends early:

  • you pay for the work done up to that point;
  • we hand over the work that has been paid for — code, designs and files — in the state it is in;
  • the sections on payment, ownership, confidentiality and liability keep applying.

9. Our software products

Our own apps — PG Connect and Layo, and, once they launch, Zym and Case Alerts — are provided as Android apps with a hosted service. This section applies when you use them. Each app’s privacy policy, listed in our Privacy Policy, explains how that app handles data.

We provide the software. We are not a party to any arrangement between you and the people you manage in an app — tenants, gym members, clients — and, unless an app clearly says otherwise, we do not collect or hold money on your behalf.

9.1 Your account

  • Give accurate details when you register.
  • Keep your sign-in to yourself — your password, your one-time codes, and the phone or WhatsApp number you sign in with.
  • You are responsible for what happens under your account, including anything done by staff you invite. Tell us promptly if you believe someone else has access.
  • You must be at least 18 years old to hold a business account, such as a PG owner, gym or advocate account.

9.2 Your data is yours

The information you put into our apps belongs to you. We store and process it to run the service for you. We do not sell it, and we do not use it to advertise to you or anyone else. You can ask for a copy of your data, or for it to be deleted, by writing to info@nexotri.com, and you can delete your account at any time from Delete your account.

9.3 Data about other people

When you enter details about other people — tenants, gym members, clients, family members — you decide what to enter and why. You confirm that you are entitled to hold that information and that you have told those people about it as the law requires. We process it only on your instructions, to run the service for you.

9.4 Paid plans

  • Our apps have free tiers. Paid plans are bought inside the Android app and paid through Razorpay.
  • Each payment buys a period — a month or a year — and does not renew automatically. We never charge you again unless you choose to pay again. If you pay while a period is still running, the new time is added to the end of it.
  • Plans and prices, in Indian Rupees, are shown on each product page: PG Connect, Layo and Zym.
  • We may change prices. A change never affects a period you have already paid for, and we give at least 30 days’ notice, in the app or by email, before a change affects you.
  • Refunds are covered by our Refund & Cancellation Policy.

9.5 Acceptable use

You agree not to:

  • use our apps for anything unlawful, or to store unlawful content;
  • try to gain access to accounts or data that are not yours;
  • interfere with the service’s operation, or probe it for weaknesses without our written permission;
  • resell or redistribute the service without an agreement with us;
  • use it to send unsolicited messages to people who have not given you their details.

9.6 Availability

We work to keep our apps available, but we do not guarantee uninterrupted operation. Maintenance, faults and events outside our control can interrupt them. If an interruption is our fault and prolonged, see our Refund & Cancellation Policy.

9.7 Suspension

We may suspend or close an account that seriously or repeatedly breaches these terms. We will tell you why and give you reasonable notice first, unless the breach makes that impossible. We will not lock you out of your own records without telling you.

10. Limitation of liability

We take care with our work, but no software is perfect. So, to the extent the law allows:

  • we are not liable for indirect or consequential loss, for loss of profit, or for loss of data where you have not kept your own records;
  • for services, our total liability for a project is limited to the fees you have paid us for that engagement;
  • for products, our total liability is limited to the amount you paid us in the 12 months before the claim.

Our apps are provided “as is”. Nothing in these terms limits any liability that cannot be limited under the law.

11. Indemnity

You are responsible for the materials you give us — text, images, logos, data and code — and you confirm you have the right to let us use them. If someone makes a claim against us because those materials infringe their rights, you will cover the reasonable costs, losses and damages we suffer as a result.

12. Events outside our control

Neither of us is responsible for a delay or failure caused by events beyond our reasonable control — natural disasters, fire, flood, epidemics, war, government action, widespread power or internet outages, or failures of third-party services. The side affected will tell the other promptly and carry on as soon as it can. This does not excuse paying for work already done.

13. General

  • Independent contractors. We work for you as an independent business. Nothing in these terms makes us your employee, partner or agent.
  • Assignment. Neither of us may transfer rights or obligations under a Proposal without the other’s written agreement, except that we may transfer them to a business that takes over ours, and will tell you if we do.
  • Notices. Written notice under these terms may be given by email or WhatsApp message, to the address or number each side uses for the project or account.
  • If part of these terms is unenforceable, the rest still applies.

14. Changes to these terms

We may update these terms, and will change the date at the top when we do. If a change materially affects you, we will give notice by email, WhatsApp or in the app before it takes effect. Continuing to use the website or an app after that means you accept the change.

A change does not alter a Proposal you have already accepted. That project continues on the terms in force when you accepted it, unless we both agree otherwise in writing.

15. Governing law and disputes

If something goes wrong, talk to us first. Write to info@nexotri.com with the details, and we will both try in good faith to resolve it by discussion within 30 days.

If that does not resolve it, these terms and any Proposal are governed by the laws of India, and the courts at Kolhapur, Maharashtra have exclusive jurisdiction. This does not take away any right you have as a consumer under Indian law.
